The first round of share subscriptions in Cibona’s transformation process begins

The decision represents an important step toward a new organizational model for the club

Cibona has entered the implementation phase of its transformation from an association for sports competition into a sports joint-stock company. With the publication of the public call, the first round of share subscriptions is now open and will run from August 31 to September 8, 2026.

Existing creditors of the club are eligible to participate in the first round if, according to the latest audit report as of December 31, 2025, they held an undisputed outstanding claim of at least €100. Shares may be subscribed through a cash payment, by contributing all or part of the claim, or through a combination of the two methods.

The minimum planned share capital of the future company is €2.6 million, while the maximum has been set at €3.99 million. For the transformation process to be successfully completed, at least €1.6 million must be paid in cash. The nominal value of each share is €100.

“The transformation process is not merely a change in the club’s legal form, but a key step toward creating a modern, stable and responsibly managed Cibona. Following a challenging period in which ensuring the continuity of the club’s operations was the priority, we are now entering a phase of building a sustainable long-term model based on transparent business practices, a clear ownership structure and professional management. The sports joint-stock company will create opportunities for new investment and further development while fully preserving Cibona’s identity, history and values. Our goal is to build an organization that will develop players, once again compete at the European level and operate on sound foundations", said Cibona director Tomislav Šerić.

The launch of the first round was preceded by decisions from the relevant institutions. On March 26 this year, the City Assembly of Zagreb adopted a resolution on the City of Zagreb’s participation in the transformation process. On April 15, the Management Board of the Croatian Basketball Federation approved the Transformation Plan, while on April 21, the Ministry of Tourism and Sports approved the plan and authorized the implementation of the process.

Upon completion of the process, Košarkaški klub Cibona sports joint-stock company, or KK Cibona s.d.d. for short, will be established. The new company will be the legal successor of the existing association, thereby preserving Cibona’s legal continuity, identity, history and sporting legacy.

The public call and complete information regarding the terms and procedure for subscribing to shares will be available on Cibona’s official website and in the Official Gazette of the Republic of Croatia (Narodne novine).
